TNS to acquire Cequint

International data communications company Transaction Network Services (TNS) has signed a definitive agreement to acquire Cequint, a US-based mobile Caller ID products and services provider, in a bid to expand its telecommunication services capabilities.

The acqusition includes an initial payment of approximately USD 50 million and approximately USD 3.3 million in stock issued to certain Cequint executives as well as an additional USD 62.5 million in cash for the achievement of future performance-based targets, for a potential total of USD 112.5 million.With the new purchase, TNS aims to extend its operator partnerships by combining its identity and verification platform with Cequint’s technology.

Founded in 2004, Cequint delivers Caller ID services to mobile subscribers by working directly with handset manufacturers to pre-integrate Cequint applications for distribution by mobile operators. The company’s City ID product displays the city and state of incoming numbers to enable the identification of unknown callers. Cequint is currently in the process of integrating its second Caller ID service with mobile operators and device manufacturers which includes delivery of caller name as well as other features.
